The mandate
An independent middle-market investment bank running concurrent sell-side M&A processes for founder- and sponsor-owned businesses.
The operating constraint
Deal teams simultaneously build strategic and financial-sponsor buyer universes, refresh trading comps and precedent transactions, draft teasers, CIMs, and management presentations, and manage a VDR that changes daily. The same KPIs are restated across a dozen documents, Q&A logs diverge from the CIM, and senior bankers need a current, defensible view before every buyer call — all while MNPI must stay behind strict information barriers between mandates.
The multi-agent architecture
A market-intelligence agent uses hybrid retrieval with re-ranking over licensed transaction data and sector research to map the landscape. A buyer-universe analyst profiles strategics and sponsors against explicit fit criteria and runs LBO capacity analysis on a deterministic engine. A financial verifier resolves every figure to a single knowledge graph of company facts and flags inconsistencies across the teaser, CIM, model, and Q&A log. A process coordinator monitors VDR activity, tracks process letters and IOI/LOI milestones, and compiles a mandate brief. Attribute-based access control scopes every retrieval to the mandate, preserving information barriers.
The work product
- A citation-backed market map, trading comps and precedent-transaction sets, and draft buyer profiles
- A single governed fact base powering the teaser, CIM, and management presentation
- A cross-document inconsistency register spanning the CIM, model, VDR, and Q&A log
- A mandate dashboard covering IOI/LOI status, open diligence requests, owners, and next actions
The operating shift
The intended result is a deal team operating from one current, provenance-linked record. Analysts focus on exceptions and the quality of the materials; senior bankers enter every client and buyer conversation with the evidence at hand.
Human-in-the-loop governance
Bankers approve buyer lists, valuation outputs, and all client materials. Confidential information and MNPI remain restricted by mandate, and every outreach requires explicit human approval.
